Terms of Service

These Terms of Service (“Terms”) govern your use of Balancely (the “Service”), operated by Balancely (“we”, “us”). Please read them carefully. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of terms

By creating an account or using the Service, you confirm that you are at least the age of majority in your jurisdiction and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. User accounts

You are responsible for:

  • Providing accurate and current information when you create your account.
  • Maintaining the confidentiality of your password and access credentials.
  • All activity that occurs under your account.
  • Notifying us promptly at security@balancely.ca if you suspect unauthorized access.

3. Acceptable use

You agree not to:

  • Upload statements that you do not have the right to process, or that contain another person's personal information without their consent.
  • Use the Service to commit fraud, evade taxes, or for any unlawful purpose.
  • Reverse-engineer, scrape, or attempt to access the Service in ways not provided by our documented interfaces.
  • Upload malicious files, attempt to compromise the Service, or interfere with its operation.
  • Resell, sublicense, or otherwise commercially exploit the Service except as expressly permitted by your subscription tier.

We reserve the right to suspend or terminate accounts that violate these rules.

4. Subscriptions and billing

Paid plans are billed monthly in advance, in US dollars unless otherwise noted. Subscriptions auto-renew until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing cycle.

We do not offer prorated refunds for partial months, but we will refund a billing cycle in full if the Service was materially unavailable for more than 24 hours during that cycle. Price changes take effect on the next renewal after at least 30 days' notice.

5. Your content

You retain all rights to the PDFs and statement data you upload (“Your Content”). By uploading, you grant us a limited, non-exclusive license to process Your Content solely to provide the Service to you (parse, reconcile, generate workbooks, and store parsed results in your account).

We do not use Your Content to train third-party AI models, and we do not sell or share Your Content except as described in our Privacy Policy.

6. Intellectual property

Balancely, including the software, parsing engines, branding, and documentation, is owned by us and protected by Canadian and international copyright, trademark, and other laws. Nothing in these Terms grants you a license to our intellectual property except the right to use the Service as provided.

7. Service availability and changes

We work to keep the Service available, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features (including parser support for specific issuers) at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account for material breach of these Terms, non-payment, or extended inactivity. On termination, your data will be deleted in accordance with our Privacy Policy.

9. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. While we work hard to reconcile every statement to the cent, the Service is not a substitute for professional accounting, tax, or legal advice. You are responsible for verifying the output before relying on it for tax filings, financial reporting, or other formal purposes.

10. Limitation of liability

To the maximum extent permitted by law, Balancely and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Service. Our total liability for any claim arising under these Terms will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

11. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for any dispute arising out of these Terms or the Service.
